Micron supports the recent corporate governance initiatives of the New York Stock Exchange and Securities and Exchange Commission. We believe that the implementation of procedures and policies that address corporate accountability, integrity, and transparency will help improve investor confidence. Our Code of Business Conduct and Ethics and Compliance Hotline emphasize the importance of these principles.

Micron's Board of Directors has a standing Audit Committee and standing Governance and Compensation committees. The Board has determined that the members of these committees satisfy the independence requirements of applicable federal laws and the listing standards of the New York Stock Exchange (NYSE). In connection with the requirements of the NYSE, the Company's Chief Executive Officer certified in January 2009 that he was not aware of any violations by the Company of the NYSE corporate governance listing standards.

In October 2008, the Company filed as exhibits to its Annual Report on Form 10-K the Sarbanes-Oxley Act Section 302 certifications regarding the quality of the Company’s public disclosure.

The Board has appointed Jim Bagley to preside at executive sessions of the Board of Directors in which only non-employee directors are present. Persons wishing to communicate with the non-employee directors as a group, may email Mr. Bagley at bagley@lamrc.com
